DRAFT – pending legal review. Version 2026-10-15-entwurf.
These terms govern the participation of artists and studios in the Inkmirra partner reward. The provider is Jacobi & Myadam GbR, Teutonenstraße 74, 12524 Berlin, Deutschland ("we"). Contact: inkmirra@think3ddd.de. Our terms and conditions apply additionally; in case of conflict these partner terms prevail. The German version is binding.
§ 1 Participation
- Artists and studios with an activated business account on Inkmirra may take part ("partner"). For studios the studio account is the partner; rewards from purchases via studio members go to the studio balance.
- Platforms (platform account type) and artists managed by platforms are excluded; separate contracts apply to them.
- Participation starts when the partner accepts these terms in the partner area and provides its VAT details (§ 8). Purchases are counted from the first attributable purchase; rewards are only credited after acceptance and complete details.
- Participation is free of charge. There is no entitlement to a certain number of purchases or rewards.
§ 2 Counted sales
- A sale is a paid purchase on Inkmirra by a client the partner brought to Inkmirra ("end customer"): purchases via the partner's QR code, paid acceptance of a tattoo handed over by the partner, and the end customer's own purchases (e.g. scans, packs, Ink Collector including renewals, unlocks, gift vouchers).
- An end customer is attributed to the partner if the account was created via the partner's QR code, handover or code, or the first purchase was made via the partner. The first attribution applies; it is not transferred to another partner.
- An end customer's purchases count until 12 months after the last attributed purchase (rolling).
- Only the amount actually paid counts. Purchases paid entirely with voucher or code balance or with a 100 % discount do not count.
§ 3 Exclusions and abuse
- Not counted: purchases by business customers (artist, studio and platform accounts, accounts with a VAT ID), by the partner itself, its balance or its studio members, and purchases with the same payment account or card as the partner.
- At most one sale per end customer, partner and calendar month counts. At most 20 bonus scans per partner and calendar month are credited; any further balance remains.
- Abuse includes in particular own, arranged or fictitious purchases only to generate rewards, creating accounts for third parties without their knowledge and circumventing the rules of this section. In such cases we may reverse rewards, suspend participation or terminate it for good cause.
§ 4 Reward amount and tiers
The reward per counted sale depends on the partner's business relationship at the time the sale is counted. Later plan changes do not change rewards already earned. All amounts are net.
| Business relationship | Reward per sale (net) | approx. sales per bonus scan |
|---|---|---|
| no active subscription | €2.00 | 6 |
| active artist subscription (Artist Starter, Artist, Artist Pro) | €2.00 | 6 |
| active studio subscription | €2.40 | 5 |
| Silver tier (25+ counted sales in the last 12 months) | €2.40 | 5 |
| Gold tier (75+ counted sales in the last 12 months) | €2.40 plus visibility perks (e.g. gold badge, featured placement) | 5 |
- The reward is at most €2.40 per sale. The highest applicable rate applies.
- Tiers are based on counted sales in the last 12 months. If the number falls below the threshold, the rate of the business relationship applies again to future sales.
- Welcome bonus: after accepting these terms we credit €2.00 once. Starter bonus: with the third counted and settled sale we top up the partner balance once to the value of one scan, so the first bonus scan is earned after three sales.
- The partner area shows the current rate, tier and progress.
§ 5 Holding period and reversal
- A reward is first pending and becomes available 14 days after the purchase if the purchase has not been refunded, withdrawn or charged back by then.
- If a purchase is refunded, withdrawn or charged back before the end of the holding period, the reward lapses.
- If this happens after the holding period, we reverse the reward. The partner balance may become negative; a negative amount is offset against future rewards. This creates no payment obligation for the partner except in case of abuse (§ 3).
- If a chargeback is decided in Inkmirra's favour, we credit the reward again.
§ 6 Redemption
- Bonus scan (default). As soon as the available partner balance reaches the value of one scan (currently €11.99 net, the price of a single scan for business customers), we automatically convert it into a bonus scan in the partner's balance. Any remainder stays.
- Credit on the subscription invoice. Partners with an active paid artist or studio subscription can choose in the partner area to offset partner balance against the next subscription invoice, or trigger this individually. Balance older than 3 months is offset automatically against the next subscription invoice. The subscription invoice is issued in full including VAT; the reward is applied to it as a credit.
- Per subscription invoice we offset at most the lowest of: 50 % of the invoice amount, €60 net per month, and the amount at which the net price per scan included in the billing period does not fall below €5.00. Any remainder is carried forward to the following invoices.
- When the subscription ends, no further offsetting takes place. An amount already booked for the subscription invoice but not yet offset lapses when the subscription ends; other partner balance is redeemed under para. 1.
§ 7 No payout, no transfer, expiry
- Partner balance is never paid out in cash. Partner balance and claims to it are neither transferable nor pledgeable.
- Partner balance expires 12 months after it is credited unless redeemed by then. The partner area shows the expiry date.
- Unredeemed partner balance lapses when the partner account is deleted. We point this out before deletion.
- Bonus scans already credited are subject to the balance rules in our terms and conditions.
§ 8 Self-billing, tax details
- The reward is the consideration for the partner's service of referring end customers. We settle it monthly by self-billing credit note (§ 14(2) sentence 2 UStG). The partner agrees that we issue the statement.
- The credit note contains in particular a sequential number, the billing period, the description "Referral of end customers (Inkmirra partner reward)", the net amount and – for partners subject to standard VAT – the VAT, for small businesses a reference to § 19 UStG. We provide it in the partner area and send it by e-mail.
- The partner may object to self-billing in text form. The partner then invoices rewards to us itself; until then we credit no further rewards.
- In the partner area the partner states its VAT status (small business under § 19 UStG yes/no), tax number or VAT ID and billing address and keeps them up to date. It checks every credit note and tells us about errors without delay. The partner is responsible for the consequences of wrong or outdated details.
- For partners established in another EU member state, the tax liability may shift to the partner (reverse charge); we indicate this in the credit note.
§ 9 Notice to clients
- When clients buy via the partner (e.g. QR page, handover page) and on our sales materials we point out that the partner receives a reward: "Your studio is an Inkmirra partner and receives a small reward for purchases."
- If the partner advertises Inkmirra itself (e.g. counter displays, social media, aftercare notes), it makes the commercial purpose clear and mentions the reward (§ 5a UWG). It does not remove the notice from printed Inkmirra materials.
- The partner does not use unlawful advertising methods, in particular no unsolicited e-mails or messages, and makes no misleading statements about Inkmirra, prices or services.
- The partner freely sets the price of scans it passes on as codes (see terms § 8). We recommend €11.99 (same as online).
§ 10 Data protection
- To calculate the reward we store which partner an end customer is attributed to and which purchases were counted. Details are in our privacy policy.
- The partner receives no personal data from us about end customers' purchases, only aggregated, non-personal figures (e.g. number of counted sales, reward amount, tier). Data the partner knows from its own activity (e.g. from handing over a scan) remains unaffected.
- We keep the partner's VAT details and the credit notes for the statutory periods (§ 147 AO, § 14b UStG).
§ 11 Programme changes
- We may change reward amounts, tiers, bonuses, limits and redemption rules for future sales. We announce changes at least 30 days in advance in text form.
- Sales already counted and partner balance already credited are not affected unless statutory or tax requirements make an adjustment necessary.
- If the partner does not agree with a change, it may terminate participation as of the effective date (§ 12). We point this out in the announcement.
§ 12 Term and termination
- Participation runs for an indefinite period. Either side may terminate it at any time with 30 days' notice in text form; the partner also in the partner area. The right to terminate for good cause (e.g. abuse under § 3) remains unaffected.
- Sales counted until the end of participation are settled under these terms. No new rewards arise afterwards. Existing partner balance can be redeemed until it expires (§ 7); on termination for good cause due to abuse it lapses.
- Participation also ends when the business account ends.
§ 13 Final provisions
- German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
- If the partner is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Berlin.
- Should individual provisions be invalid, the remainder remains valid; statutory provisions apply instead.
